Terms of Service

The agreement between you and psiMentora.

1. Who we are

These Terms are a contract between you and [Legal entity name, Inc.], a [State] corporation with its principal place of business at [Registered address] ("psiMentora", "we", "us"). They govern the psiMentora website, web app and mobile apps (the "Service"). By using the Service you agree to these Terms and to our Privacy Policy.

2. What psiMentora is, and isn't

psiMentora is an artificial-intelligence companion for everyday emotional support. Its replies are generated automatically by AI models and reviewed by additional automated safety layers. psiMentora:

• is not a licensed therapist, psychologist, physician or counselor, and no therapist-client or doctor-patient relationship is created by using it;
• does not provide medical, psychological or psychiatric advice, diagnosis or treatment, and is not a substitute for them;
• is not an emergency or crisis service. It cannot contact emergency services or anyone else on your behalf. If you are in danger, call 911; in the US you can also call or text 988. See our Crisis resources;
• can be wrong. AI-generated replies may be inaccurate, incomplete or inappropriate for your situation. Use your own judgment and consult a qualified professional for decisions about your health, relationships, finances or legal matters.

3. Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract. You can use psiMentora without an account. If you create one, keep your login credentials confidential; you are responsible for activity under your account. We may suspend or close accounts that violate these Terms. You can delete your account at any time from inside psiMentora.

4. Acceptable use

You agree not to:

• use the Service to harm, harass, threaten or exploit any person, or to generate content that is illegal, hateful, or sexual involving minors;
• present psiMentora's replies to third parties as professional advice, or use the Service to provide services to others;
• attempt to extract the underlying models, prompts or source code, or access the Service by automated means other than the interfaces we provide;
• create multiple accounts or devices to obtain free replies beyond the limits we set, or otherwise interfere with billing;
• interfere with the security or operation of the Service.

5. Free replies, plans and billing

Free replies. New users receive a limited number of free replies from psiMentora (currently 10) without providing a payment method. Free limits are per person; we may use device and network signals to prevent them being reset by creating new accounts or sessions.

Plans. After the free replies, continued use requires a paid plan. Each plan includes a set number of replies per billing month; unused replies expire at the end of the billing month unless the plan page says otherwise. One "reply" is one response from psiMentora, whether you typed or spoke and whether psiMentora answers in text or voice; your own messages are not counted. Prices are shown before you buy, in US dollars, and exclude any taxes we are required to collect.

Automatic renewal. Paid plans renew automatically each month at the then-current price until you cancel. By purchasing a plan you authorize us and our payment processor to charge your payment method at each renewal. If a renewal payment fails, we may retry it and, if it continues to fail, downgrade or suspend the plan. Purchases made through the Apple App Store or Google Play are billed by Apple or Google under their terms; renewal and cancellation for those purchases are managed in your App Store or Google Play account settings.

Before you pay, the price, the billing frequency, what the plan includes and how to cancel are shown on the payment screen, and you must actively confirm the purchase. We send a receipt for every charge, and a reminder before any renewal that follows a free or discounted period.

Price changes. We will notify you at least 30 days before a price increase takes effect for your plan; continuing past that date means you accept the new price.

6. Cancellation and refunds

• Cancel anytime. Cancelling stops future renewals. You keep access to the replies you paid for until the end of the current billing month. Cancel under Account, then Plan (web), or in your App Store or Google Play subscription settings for purchases made there.
• Refunds. If psiMentora didn't work for you, email hello@psimentora.com within 14 days of a charge: we refund the unused portion of that month's replies, and the full charge if you used none of them. A renewal you forgot to cancel is refunded in full if you contact us within 7 days of the charge and have not used the renewed replies. Purchases through Apple or Google are refunded under Apple's or Google's policies; we cannot issue those refunds directly.
• Where consumer-protection law gives you broader rights, those rights apply.

7. Your content and our rights

You own what you write or say to psiMentora. You grant us a license to store and process it to provide the Service, keep it safe, and improve psiMentora, as described in the Privacy Policy. You are responsible for what you share and must have the right to share it. We own the Service, its design, software and AI-generated replies, and grant you a personal, non-transferable license to use them as part of the Service. You may keep and use psiMentora's replies to you for personal purposes.

8. Privacy

Our Privacy Policy explains what we collect and how we use it. In short: your conversations are not sold and not used for advertising, and you can delete them at any time. California residents have additional rights described in our California Privacy Notice.

9. Availability and changes

We may change, suspend or discontinue features of the Service, and we may update these Terms. For material changes we will notify you inside psiMentora or by email at least 14 days in advance; continuing to use the Service after that means you accept the change. If you don't agree, stop using the Service and, if you have a paid plan, contact us for a pro-rated refund of the unused period (this is separate from the money-back terms in section 6).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PSIMENTORA'S REPLIES WILL BE ACCURATE, COMPLETE OR SUITABLE FOR YOUR SITUATION, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. PSIMENTORA IS NOT A MEDICAL DEVICE AND HAS NOT BEEN EVALUATED BY THE FDA.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US $100. Some jurisdictions do not allow these limitations; in that case they apply to the extent permitted.

12. Disputes and arbitration

Talk to us first. Before filing a claim, email legal@psimentora.com with a description of the dispute; we will try to resolve it within 60 days.

Arbitration. If we can't, you and we agree that any dispute arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The Federal Arbitration Act governs this section. Class actions and class arbitrations are waived: you may only bring claims in your individual capacity.

Opt-out. You may opt out of this arbitration agreement by emailing legal@psimentora.com within 30 days of first accepting these Terms, stating your name and that you opt out. Opting out does not affect any other part of these Terms.

Governing law. These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. Where arbitration does not apply, courts located in [County, State] have exclusive jurisdiction.

13. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is unenforceable, the rest remains in effect. You may not assign these Terms; we may assign them to a successor. Our failure to enforce a provision is not a waiver. Notices to you may be given inside the Service or by email; notices to us go to the address in section 14.
